1. Acceptance of Terms

By accessing or using ShiftGuard, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our platform.

2. Eligibility

You must be at least 18 years old and capable of entering into a legally binding agreement to use ShiftGuard. If you are using ShiftGuard on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

3. Use of the Platform

ShiftGuard is intended for licensed security companies and their authorized personnel. You agree to use the platform only for lawful purposes and in accordance with all applicable laws and regulations.

4. Restrictions on Use; Reverse Engineering and Competitive Use

The restrictions in this Section 4 apply to all access to ShiftGuard, including free trials, demos, paid subscriptions, promotional access, test accounts, preview access, and any user, guard, owner, staff, or other authorized account. These restrictions apply regardless of whether the person accessing ShiftGuard is a customer, prospect, employee of a customer, contractor, competitor, or other user, except to the extent such restrictions are prohibited by applicable law.

You may not, directly or indirectly:

4.1 Reverse Engineering

Reverse engineer, decompile, disassemble, decode, translate, modify, attempt to derive, discover, or gain access to ShiftGuard's source code, object code, software architecture, database structure, data models, algorithms, AI systems, system prompts, AI instructions, business logic, proprietary workflows, internal processes, non-public APIs, administrative interfaces, security mechanisms, technical infrastructure, or other non-public technology or functionality, except to the limited extent such a restriction is prohibited by applicable law.

4.2 Competitive Use

Access or use ShiftGuard for the purpose of developing, creating, designing, training, improving, benchmarking, evaluating, supporting, or assisting with any product, software, platform, service, or technology that competes with ShiftGuard, including accessing ShiftGuard for competitive intelligence rather than legitimate evaluation or use of ShiftGuard's services. You may not create an account, request a demo, begin a trial, purchase a subscription, obtain access through another company's account, or otherwise access ShiftGuard for the primary purpose of studying the platform to create or improve a competing product or service.

4.3 Copying ShiftGuard

Copy, reproduce, adapt, translate, modify, imitate, or create derivative works from protectable portions of ShiftGuard, including its software, original interface elements, original documentation, training materials, ShiftGuard University materials, Executive Library resources, original templates, reports, graphics, written content, proprietary workflows and materials, Compliance Center content, or other ShiftGuard-owned intellectual property. This provision does not claim ownership over general ideas, concepts, industry practices, laws, regulations, or other material that ShiftGuard cannot legally own.

4.4 Scraping and Automated Collection

Scrape, crawl, data mine, or use bots, automated extraction, automated copying, systematic downloading, automated account creation, automated querying, or automated collection of platform content or data, unless expressly authorized in writing by ShiftGuard or through an officially supported ShiftGuard integration or API.

4.5 Circumvention

Bypass, disable, interfere with, defeat, manipulate, or circumvent trial limits, subscription restrictions, feature locks, usage limits, role-based permissions, authentication, authorization controls, company or tenant isolation, security measures, rate limits, AI usage limits, download restrictions, or other access controls, including by creating multiple accounts, companies, trials, or identities for the purpose of avoiding ShiftGuard's trial or subscription restrictions.

4.6 Unauthorized Access

Attempt to gain unauthorized access to another company's workspace, another user's account, ShiftGuard Super Admin, administrative systems, internal databases, internal APIs, AI system prompts, internal AI agent instructions, ShiftGuard infrastructure, non-public files, restricted features, or other non-public portions of the ShiftGuard platform.

4.7 Credential and Account Misuse

Knowingly provide account access to another person or organization for purposes prohibited by these Terms, including providing access to a competitor for competitive intelligence, reverse engineering, scraping, or unauthorized evaluation. This does not interfere with legitimate employee access, authorized team access, or ShiftGuard's existing role-based account functionality.

4.8 Trial and Demo Abuse

ShiftGuard's free trial and any demos are provided solely for legitimate evaluation of ShiftGuard for potential authorized business use. Trial or demo access may not be used primarily to conduct competitive research, reverse engineer ShiftGuard, systematically document proprietary functionality, circumvent paid subscription requirements, harvest ShiftGuard content, create competing software, or provide unauthorized third-party access.

4.9 Enforcement

ShiftGuard may suspend, restrict, or terminate access when it reasonably determines that an account is being used in violation of these restrictions, subject to the rest of these Terms and applicable law. ShiftGuard retains reasonable discretion to investigate suspicious activity and enforce its Terms. These Terms do not provide that ShiftGuard will automatically terminate an account merely because a user works for another technology company or security software provider.

5. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

6. Employee Invitations

Employers are responsible for ensuring that individuals they invite to use ShiftGuard meet all applicable legal and employment requirements, including minimum age, licensing, and work authorization.

7. Subscription & Billing

ShiftGuard offers subscription plans billed monthly. You may cancel at any time. Refunds are not provided for partial billing periods unless required by law.

8. Data & Privacy

We collect and process data as described in our Privacy Policy. By using ShiftGuard, you consent to such processing.

9. Intellectual Property

ShiftGuard and its licensors retain all applicable rights in the ShiftGuard platform, software, branding, original content, documentation, and other protectable intellectual property. You may not reproduce or distribute any protectable part of the platform without written permission. ShiftGuard does not claim ownership of security-industry concepts, general software concepts, laws, regulations, government information, public records, general business methods, or ideas that are not otherwise legally protectable. With respect to the Compliance Center, ShiftGuard may protect its original organization, presentation, software functionality, original commentary, and proprietary compilation where legally protectable, but does not claim ownership of state laws, regulations, government licensing requirements, government publications, or other public legal information.

10. Limitation of Liability

ShiftGuard is provided "as is." We are not liable for any indirect, incidental, or consequential damages arising from your use of the platform.

11. Termination

We reserve the right to suspend, restrict, or terminate your account if you violate these terms or engage in fraudulent or abusive behavior, including violations of Section 4, subject to applicable law.

12. Changes to Terms

We may update these terms from time to time. Continued use of the platform after changes are posted constitutes your acceptance of the new terms.
